NOTICE of Public Meeting and Closed Meetings of the

Northfield Hospital + Clinics Board of Directors

[Notice of Meeting by Telephone and Other Electronic Means]

NOTICE IS HEREBY GIVEN that the Northfield Hospital + Clinics will hold a regular meeting of the Board of Directors, on January 26, 2023 beginning at 5:00 p.m.

The Northfield Hospital and Clinics Board will meet in open session beginning at 5:00 p.m.

At the conclusion of the agenda for the open meeting, the Board will go into closed session pursuant to Minn. Stat. 144.581, subd. 5: marketing activity related to the Hospital’s competitive position with other health care providers that offer similar services.

In accordance with the requirements of Minn. Stat. Section 13D.021, Steve Underdahl, the Chief Executive Officer, has determined that an in-person meeting is not practical or prudent because of a health pandemic and emergency declared under Chapter 12 of the Minnesota Statutes.

Because of the health pandemic and emergency declaration, it has been determined that attendance at the regular meeting location by members of the public is not feasible. It has also been determined that it is not feasible for members of the Board of Directors to be physically present at the regular meeting location.

Therefore, all of the Board of Directors, staff, and presenters will be participating in the meeting by telephone or other electronic means.
